Bu Loadmane Hizmet Olarak Yazılım (SaaS) Abonelik ve Lisans Sözleşmesi (“Sözleşme”); www.loadmance.com uzantılı tarayıcı arayüzünde
çalışan web tabanlı platformunun (“Platform”) sahibi ve işleticisi olan Virgosol Bilişim ve Yazılım
Çözümleri Anonim Şirketi (“Virgosol” veya “Biz”) ile Platform’dan yararlanmak isteyen tüketici
olmayan gerçek veya tüzel kişiler (“Kullanıcı” veya “Siz”) arasında akdedilmektedir. Kullanıcı’yı
temsile yetkili 18 yaşının üstündeki gerçek kişinin Kullanıcı adına bu Sözleşme’yi elektronik
ortamda kabulü ile birlikte yürürlüğe girecektir.
Bu Sözleşme’yi onaylayan gerçek kişi, (i) Kullanıcı’yı bu Sözleşme’nin tarafı haline getirmek adına
tam yetkiye ve ehliyete sahip olduğunu, (ii) bu Sözleşme’de yer alan koşulları okuyup, anladığını ve
(iii) bu Sözleşme’nin elektronik ortamda Kullanıcı adına ve hesabına onaylanmasıyla birlikte
Kullanıcı’nın bu Sözleşme’nin tarafı haline geldiğini kabul, beyan ve taahhüt eder.
E-posta yoluyla Siz’e bildirim yapılarak bu Sözleşme’de yer alan koşulları herhangi bir bölümü
değişikliğe konu olabilir. Bu Sözleşme’nin en başında yer alan “Son Güncelleme” tarihi, Sözleşme’de
yapılan en son değişikliklerin ne zaman yapıldığını ifade eder. En güncel sürüm, diğer önceki tüm
sürümlerin yerine geçecektir. Kullanıcı, Platform’u kullamaya devam ederek, bu değişiklikleri kabul
etmiş olur
Ayrıca Platform’un kullanımına ilişkin olarak Virgosol tarafından Kullanıcı’ya sunulan kullanım
koşulları, kural ve şartlar ile Platform’un belirli bölümlerinde yer alan huşular da
(“Dokümantasyon”) işbu Sözleşme’nin eki ve ayrılmaz bir parçası niteliğinde olup, burada yer alan
hak ve yükümlülüklerle birlikte tarafların hak ve yükümlülüklerinin tamamını oluşturmaktadır.

1. GENEL HÜKÜMLER
1.1. Platform web ve bulut tabanlı olup, mevcut performans değerlendirme araçlarını kullanarak
Kullanıcı’nın ticari amaçlı kullandığı web platformunun (“Kullanıcı Sitesi”), Kullanıcı tarafından
Platform’a yüklenen bilgi ve veriler doğrultusunda (“İçerik”) ağır yük, çoklu ve eşzamanlı kullanıcı
trafiğine karşı test etmek için performans komut dosyalarını çalıştırabileceğiniz bir görsel
modelleme, test ve sonuç analiz platformudur. Platform, karmaşık yapay J2EE test ortamı
uygulamalarının hızla geliştirilmesini sağlamaktadır. Platform, düzenlenmiş test senaryolarını
çalıştırırken ve raporları analiz ederken kod yazmak zorunda kalmadan çalışacağından, bu işlemlerin
yerine getirilmesi için kodlama bilgisi gerekmemektedir. Platform ile yerel makine (on-prem) hizmet
almak gerekliliği ortadan kalkacaktır. Kullanıcı’nın temin edeceği hizmetler, bu Sözleşme ve
Dokümantasyon kapsamında Platform üzerinden seçeceği abonelik paketine göre değişkenlik
gösterebilecektir (topluca “Hizmet” veya “Hizmetler”).
1.2. Virogsol, bu Sözleşme şartlarına uygun olarak Kullanıcı’ya, Hizmetleri’i her bir Kullanıcı’nın
tercih ettiği abonelik paketine uygun olarak sağlayacaktır. Virgosol, Kullanıcı’ya bu Sözleşme
süresi ile sınırlı olarak, münhasır olmayan ve Dokümantasyon’a uygun bir biçimde dünya çapında,
devredilemez ve alt lisanslanamaz bir lisans tanımaktadır.
1.3. Kullanıcı, Hizmetler’e erişirken aşağıda belirtilen yükümlülüklere uyacağını kabul, beyan ve
taahhüt eder.
- 1.3.1. Hizmetler’in lisansını ve/veya alt lisansını vermek yasak olup yine Hizmetler’i ya da içeriğini satamaz, devir ve temlik edemez, dağıtımını yapamaz veya bunların dışında kendi ticari amaçları için kullanamaz ve/veya grup şirketleri, bağlı şirketleri, sözleşmeli resmi bayileri bünyesi dışında üçüncü şahısların kullanımına sunamaz.
- 1.3.2. Hizmetler ya da içeriğine dayalı olarak üretilmiş (Hizmet ya da içeriğinden türetilen) işleri yapamaz veya bunlar üzerinde değişiklik yapamaz.
- 1.3.3. (a) Hizmetler ile rekabet edecek ürün ya da başka hizmet yaratmak, (b) Hizmetler’e benzer fikir, özellik, fonksiyon ya da grafik kullanan bir ürün yaratmak, ya da (c) Hizmetler’in herhangi bir fikir, özellik, fonksiyon ya da grafiğini kopyalamak amacıyla ters mühendislik kullanamaz ya da bu amaçlarla Hizmetler’e erişemez.
- 1.3.4. Kullanıcı, yürürlükteki yasaları ihlal eden mesaj (spam, hakaret vb.) gönderemez.
- 1.3.5. Kullanıcı, Yazılım virüsleri, solucanlar, truva atı programları (trojan), ya da başka zararlı bilgisayar şifreleri, dosyalar, kodlar, makrolar, komutlar ya da programlar yükleyemez ya da gönderemez.
- 1.3.6. Hizmetler’in performansını ve/veya bütünlüğünü bozacak şekilde veri akışı sağlayamaz.
- 1.3.7. Hizmetler veya ilgili ağ ve sistemlerine izinsiz giriş yapmaya kalkışamaz
1.4. Virgosol, Hizmetleri her takvim ayı için %99,8 çalışma hedefi süresi ile kullanılabilir hale
getirmek için gerekli makul çabayı gösterecektir (“Hedef Kullanılabilirlik”). Ancak işbu cümlenin
devamında sayılan kesinti sebepleri, Virgosol’un Hedef Kullanılabilirlik yükümlülüğünün
hesaplanmasına dahil edilmeyecektir; (a) Hizmetler’in Kullanıcı tarafından Platform’da ve/veya
Dokümantasyonda belirtilen amaçlar haricinde kullanılması, (b) ülke çapındaki İnternet kesintisi ve
sorunları veya internet hizmet sağlayıcısı nezdinde gerçekleşebilecek kalıcı veya geçici İnternet
kesintisi ve sorunları, (c) mücbir sebep sayılabilecek haller, (d) Virgosol’un makul kontrol ve
yönetimi dışındaki diğer faktörler, (e) Kullanıcı’nın ekipmanı, yazılımı, ağ bağlantıları, Kullanıcı
Sitesi veya Kullanıcı Sitesi’nin bağlı olduğu yer sağlayıcı hizmet sağlayıcısından kaynaklanan
kesintiler, ve (f) Virgosol’un en geç bir (1) gün önceden bildirdiği planlı bakım işlemleri veya
acil durumlar için (örneğin sistem saldırısı, ddos saldırısı, siber güvenlik önlemleri vb.) alınan
önlemler.
1.5. Virgosol, Kullanıcılar’a hafta içi mesai saatleri içerisinde (09.00 – 17.00) destek hizmetleri
sunacaktır. Kullanıcı’ya Platform üzerinden iletişim araçları (forum, sohbet araçları veya mesaj
merkezi gibi) sağlanması durumunda, Kullanıcı bu iletişim araçlarını yalnızca hukuka uygun amaçlar
çerçevesinde kullanacağını beyan ve taahhüt eder. Kullanıcı, söz konusu iletişim araçlarını ürün ve
hizmet satışı, karşı tarafın rızası olmadan gönderilen e-postalar, üçüncü kişilerin yazılım ve
bilgisayar sistemlerine zarar verebilecek dosyalar, diğer kullanıcılar bakımından hakaret içeren
içerikler yahut hukuka aykırı her türlü içerik de dahil olmak üzere, Platform amacı dışında
materyaller paylaşmak için kullanmayacaktır. Kullanıcı, Platform üzerinden gerçekleştirdiği her
türlü iletişim bakımından bunu yapma yetkisini haiz olduğunu taahhüt eder. Şirket’in Platform
üzerinden gerçekleştirilen iletişimlerin uygunluğunu yahut bunların Platform’un kullanım amaçlarına
yönelik olduğunu kontrol etme yükümlülüğü bulunmamaktadır. Platform üzerinden erişilen veya
Platform’a ilişkin olarak kullanılan diğer web tabanlı iletişim araçları bakımından da, Platform
üzerinden sağlanan iletişim araçlarını kullanırken göstermekle yükümlü olduğu özeni gösterecektir.
Şirket, Platform üzerinden sağladığı iletişim araçlarını kendi takdirine bağlı olarak dilediği zaman
kaldırma hakkına sahiptir.
2. HİZMETLERE ERİŞİM ŞARTLARI
2.1. Kullanıcı, Platform’dan faydalanmak için Virgosol tarafından talep edilen bilgileri tam, doğru
ve güncel bir şekilde sağlayarak işbu Sözleşme’yi onaylaması gerektiğini bildiğini beyan eder.
Kullanıcı statüsünün tesisi sırasında sağlanan bilgilerde herhangi bir değişiklik olması halinde,
söz konusu bilgiler derhal güncellenecektir. Bu bilgilerin eksik veya gerçeğe aykırı olarak
verilmesi ya da güncel olmaması nedeniyle Platform’a erişim sağlanamamasından ve bunlardan
faydalanılamamasından Virgosol sorumlu değildir.
2.2. Kullanıcı, tek bir Kullanıcı hesabı tesis etme hakkına sahip olup, Kullanıcı hesabının Virgosol
tarafından askıya alınması veya sona erdirilmesini takiben Kullanıcı tarafından aynı veya başka
bilgiler kullanılarak ikinci bir hesap tesis edilmesi yasaktır. Virgosol’un herhangi bir gerekçe
göstermeksizin, tamamen kendi iradesine tabi olarak Kullanıcı hesabının açılmasını reddetme hakkı
saklıdır.
2.3. Kullanıcı tarafından Platform’a erişim, e-posta adresi ve şifresi kullanılarak
gerçekleştirilecektir. Bu şifrenin gizliliğinin ve güvenliğinin korunmasından Kullanıcı sorumlu
olacak olup, Platform üzerinden söz konusu bilgilerin kullanımı ile gerçekleştirilen her türlü
faaliyetin Kullanıcı tarafından gerçekleştirildiği kabul edilecek, bu faaliyetlerden doğan her türlü
yasal ve cezai sorumluluk Kullanıcı’ya ait olacaktır. Kullanıcı, şifresinin yetkisiz kullanımı veya
güvenliğin başka şekilde ihlalinden haberdar olduğunda bu durumu derhal Virgosol’a bildirecektir.
2.4. Kullanıcı, Platform’u yalnızca yasalara uygun faaliyetleri için kullanacağını, işbu Sözleşme,
ekleri, yürürlükteki mevzuat ve Dokümantasyon’a uygun davranacağını kabul ve taahhüt eder.
2.5. Kullanıcı, muhtelif zamanlarda Platform’un kullanması için üçüncü bir kişiyi yetkilendirebilir
(“Yetkilendirilmiş Kullanıcı”). Yetkilendirilmiş Kullanıcı’nın kim olacağı ve Platform kapsamındaki
yetki seviyesi Kullanıcı tarafından belirlenecektir. Kullanıcı, Yetkilendirilmiş Kullanıcılar’ın
Platform’u kullanmasından sorumlu olup Yetkilendirilmiş Kullanıcılar’ın Platform’a erişimini her
zaman kontrol edecek ve Yetkilendirilmiş Kullanıcı’nın Platform’a erişim seviyesini her zaman ve bir
nedene bağlı olmaksızın değiştirebilecek veya erişimini iptal edebilecektir. Kullanıcı ve
Yetkilendirilmiş Kullanıcı arasında Platform’a erişime ilişkin olarak bir uyuşmazlık çıkması halinde
Yetkilendirilmiş Kullanıcı’nın Platform’a veya İçeriklere erişimi ve erişim seviyesine ilişkin
kararı Kullanıcı verecektir.
2.6. Kullanıcı tarafından paylaşılan İçerik, Kullanıcı’nın mülkiyetinde olup İçerik’e ilişkin tüm
sorumluluk Kullanıcı’ya aittir. Virgosol, işbu Sözleşme kapsamında Kullanıcı tarafından kendisine
sağlanan lisans kapsamında İçerik’i kullanma hakkını haizdir. İçerik’e yahut İçerik’in yol
açabileceği kayıp veya zararlara ilişkin olarak Virgosol sorumlu tutulamayacaktır.
2.7. Kullanıcı, Platform’un üçüncü kişiler tarafından barındırılıyor olması halinde bu üçüncü
kişilerin bilgisayar ve ağ sistemlerinin güvenlik ve bütünlüğünü tehlikeye düşürecek faaliyetlerde
bulunmayacağını, Platform’u, Hizmetler’in sunulduğu diğer sistemlerin işlerliğine yahut Platform’dan
faydalanan diğer kullanıcıların bunlardan faydalanmasına engel olacak veya bunlara zarar verecek
şekilde veya hatalı kullanmamayı, Platform’un barındırıldığı bilgisayar sistemlerine veya kendisine
tanınan erişim kapsamı dışında yetkisiz erişim sağlamayacağını, Virgosol’un ve üçüncü kişilerin
bilgisayar sistemlerine, cihazlarına ve yazılımlarına zarar verecek dosyalar veya hukuka aykırı
İçerikler (Kullanıcı’nın üzerinde kullanma hakkı olmayan telif hakkıyla korunan veya ticari sır
niteliğinde olan İçerikler ve diğer materyaller de dahil olmak üzere) aktarmayacağını ve
yüklemeyeceğini, Hizmetler’in sunulmasında veya Platform’un çalışmasında kullanılan bilgisayar
programlarını olağan kullanım için mutlak olarak gerekli olmadığı sürece değiştirmeyeceğini,
kopyalamayacağını, uyarlamayacağını, çoğaltmayacağını, kaynak kodu oluşturmayacağını yahut tersine
mühendislik işlemleri yapmayacağını, üçüncü taraflara yönelik saldırı ve atak fiillerinde
kullanmayacağını kabul ve taahhüt eder.
2.8. Kullanıcı, Platform’u kullanmasının aylık işlem ve saklama hacimleri, Kullanıcı Sitesi trafik
sınırı da dahil olmak üzere kısıtlamalara tabi olabileceğini kabul eder. Söz konusu kısıtlamalar
Platform içinde belirtilecektir.
2.9. Kullanıcı, Kullanıcı hesabını ve işbu Sözleşme ile Platform kullanımından doğan hak ve
yükümlülüklerini herhangi bir şekilde üçüncü bir kişiye devir veya temlik edemez.
2.10. Kullanıcı’nın işbu Sözleşme ve Dokümantasyon’a aykırı davranması halinde Virgosol,
Kullanıcı’nın üyeliğini askıya alma veya Sözleşme’yi aşağıda belirtilen şekilde feshederek kullanıcı
statüsünü bu şekilde sona erdirme hakkına sahip olacaktır. Böyle bir durumda Virgosol’un söz konusu
aykırılıktan doğan zararlarını Kullanıcı’dan talep hakkı saklıdır.
3. ÖDEME KOŞULLARI
3.1. Kullanıcı Platform’dan, Platform içerisinde beyan edilen ücretleri yine Platform içerisinde
beyan edilen ödeme koşulları ve araçları ile tam ve eksiksiz ödemesi karşılığında
faydalanabilecektir.
3.2. Kullanıcı Platform’dan ön ödemeli bir hizmet aldığı takdirde faturası, ödemeyi takiben üye
olurken belirttiği adrese kesilir, elektronik fatura olarak Kullanıcı ile paylaşılır. Kullanıcı,
Platform’dan sonradan ödemeli bir hizmet aldığı takdirde, faturadaki ilgili tutarı fatura tarihini
takip eden 7 (yedi) gün içinde ödeyecektir. İlgili ücretlere ilişkin vergi ve harçların ödenmesinden
Kullanıcı sorumludur.
3.3. Kullanıcı’nın ön ödemeli hizmet alması durumunda, iptal ve iade için support@loadmance.com adresiyle yazılı bir şekilde iletişime geçmesi
gerekmektedir. Kullanıcı, ön ödemeli alınan hizmetin iptal edilmesi durumunda tam olarak iade
yapılamayacağını, Virgosol tarafından hesaplanan kullanım metrikleri doğrultusunda iade
yapılabileceğini ve bu konuda Virgosol’un kayıtlarının geçerli olduğunu kabul, beyan ve taahhüt
eder.
3.4. Virgosol, Kullanıcı’nın hizmet bedellerini demeyerek temerrüde düşmesi durumunda işbu
Sözleşme’yi feshetme ve Müşteri’nin Hizmetler’e erişimini durdurma hakkı mevcuttur.
4. FİKRİ MÜLKİYET HAKLARI
4.1. Platform üzerindeki her türlü hak, mülkiyet ve menfaat Virgosol’a aittir. İşbu Sözleşme
kapsamında Kullanıcı’ya Platform’u kullanmak üzere 1.2. madde kapsamında lisans verilmektedir.
Sözleşme, Platform’a ilişkin diğer koşullardaki hiçbir hüküm Platform’a ilişkin hakların ve
menfaatlerin Kullanıcı’ya devredildiği şeklinde yorumlanamaz. Kullanıcı, işbu Sözleşme kapsamında
Virgosol’a, Kullanıcı’nın Platform’a erişimi, Platform’u kullanması ve hizmetlerin sağlanmasına
yönelik diğer amaçlarla, bilgilerinin ve İçerik’in kullanılması, kopyalanması, iletilmesi,
saklanması ve yedeğinin alınması için kullanım hakkı tanımaktadır. Virgosol, Hizmetler’in sağlanması
amacıyla İçerik’e ilişkin olarak üçüncü kişi geliştiricilere alt lisans verme hakkını haizdir.
4.2. Kullanıcı, herhangi bir şekilde Virgosol’un veya Platform’un (veya bağlı şirketlerinin) ticari
unvanını, markasını, hizmet markasını, logosunu, alan adını, Virgosol’un yazılı onayı olmaksızın
kullanamayacaktır.
5. SORUMLULUĞUN SINIRLANDIRILMASI
5.1. Platform kapsamındaki Hizmetler, yazılım ve sair içerikler “OLDUĞU GİBİ” sunulmakta olup, bu
kapsamda Virgosol’un Platform, yazılım ve içeriğin doğruluğu, tamlığı ve güvenilirliği ile ilgili
herhangi bir sorumluluk ya da taahhüdü bulunmamaktadır. Kullanıcı, Virgosol’un ayrıca İçerik ve
diğer Kullanıcı verilerinin birbiriyle ilişkisine dair taahhütte bulunmadığını anlar ve kabul eder.
Virgosol, Platform’un kullanımının kesintisiz ve hatasız olduğunu taahhüt etmemektedir. Virgosol,
Hedef Kullanılabilirlik doğrultusunda erişilebilir olmasını hedeflemekle birlikte Platform’a erişimi
sağlayan sistemlerin işlerliği ve erişilebilirliğine ilişkin bir garanti vermemektedir.
5.2. Kullanıcı, Platform üzerinden sunulan Hizmetler’in erişim ve bunların kalitesinin büyük ölçüde
ilgili internet servis sağlayıcıdan temin edilen hizmetin kalitesine dayandığını ve söz konusu
hizmet kalitesinden kaynaklı sorunlarda Virgosol’un herhangi bir sorumluluğunun bulunmadığını kabul
eder.
5.3. Kullanıcı, Kullanıcı Sitesi ve İçerik ile Platform’un kullanımından münhasıran sorumludur.
Kullanıcı, fikri mülkiyet ihlalleri, İçerik, Kullanıcı Sitesi ve Platform’un kullanımına ilişkin
olarak üçüncü kişiler tarafından iletilebilecek her türlü iddia ve talepten (yargılama masrafları ve
avukatlık ücretleri de dahil olmak üzere) Virgosol’u beri kıldığını kabul eder.
5.4. Virgosol, uygulanacak hukukun izin verdiği ölçüde, kâr kaybı, şerefiye ve itibar kaybı, ikame
ürün ve hizmet temini için yapılan harcama gibi kalemler de dahil ancak bunlarla sınırlı olmaksızın
Platform’un kullanımı neticesinde meydana gelen hiçbir doğrudan, dolaylı, özel, arızi, cezai
zarardan sorumlu olmayacaktır. Buna ek olarak Virgosol, zımni garanti, ticarete elverişlilik, belli
bir amaca uygunluk da dahil ancak bunlarla sınırlı olmamak üzere, açık veya zımni hiçbir türlü
garanti vermediğini de ayrıca beyan eder. Virgosol’un işbu Sözleşme kapsamındaki sorumluluğu her
halükarda ilgili zararın doğduğu tarihe kadar Kullanıcı tarafından işbu Sözleşme’ye konu hizmetler
kapsamında ödenmiş olan tutarla sınırlı olacaktır.
6. SÜRE VE FESİH
6.1. İşbu Sözleşme, Dokümantasyon’da yer alan taahhüt süresi ile sınırlı olmakta olup (“Taahhüt
Süresi”), Dokümantasyon’da aksi belirtilmedikçe, Taahhüt Süresi sonunda işbu Sözleşme kendiliğinden
yenilenecektir.
6.2. Taraflar, Sözleşme çerçevesinde üstlenilmiş olan taahhütlerin herhangi biri veya birkaçının
ihlali veya Tarafların Sözleşme konusu yükümlülüklerini hiç veya gereği gibi veya zamanında ifa
etmemesi hallerinde, karşı tarafa aykırılığın giderilmesi için bir (1) ay süre verir. Ancak verilen
sürede aykırılığın giderilmemiş olması halinde yazılı feshi ihbarda bulunmuş olmak kaydıyla, işbu
Sözleşme’yi tamamen ve/veya Hizmetin/lerin herhangi biri/birkaçı için tek taraflı olarak derhal
feshedebilir. Kullanıcıların kendi kusuru ile Sözleşme'yi ihlal etmesi veya Sözleşme'ye uygun
davranmaması halinde; Virgosol tarafından aykırılığın giderilmesi için verilen bir (1) aylık süre
sonunda aykırılık sona erdirilmediği halde, Kullanıcı şifresini veya Kullanıcı hesabını iptal
edebilir ya da Hizmetler’in kullanmasını engelleyebilir.
7. DİĞER HÜKÜMLER
7.1. Tebligat ve Sair Bildirimler: Sözleşmenin feshi, iptali, süresi veya karşı tarafın Sözleşme’nin
yükümlülüklerine uymasına ilişkin yazılı bildirimlerin geçerli olabilmesi için bu bildirimlerin,
Platform üyelik formunda belirtilen adreslere Noter aracılığıyla ya da tarafların bildireceği e-mail
adreslerine gönderilebilir. Bildirimin yapılamaması halinde Tebligat Kanunu 21. Madde ve 35. Maddesi
hükümleri uygulanır.
7.2. Sözleşme’nin Bütünlüğü: Bu Sözleşme, bu hüküm de dâhil olmak üzere tek taraflı değiştirilemez.
Sözleşme’nin herhangi bir kısmının kanuna aykırı veya geçersiz sayılması halinde, söz konusu
aykırılık veya geçersizlik Sözleşme’nin diğer hükümlerini etkilemez ve diğer hükümlerin geçerliliği
devam eder ve taraflar üzerinde aynı şekilde bağlayıcı olur.
7.3. Uygulanacak Hukuk ve Yetkili Yargı Yeri: Bu Sözleşme şekil ve esas yönünden Türk Hukuku'na
tabidir. Sözleşme’nin yorum ve icrasından kaynaklanan her türlü uyuşmazlığın çözümünde İstanbul
Anadolu Mahkemeleri ve İcra Müdürlükleri yetkilidir. İş bu hüküm HMK kapsamında Yetki Sözleşmesi
niteliğindedir.
İşbu Sözleşme, Kullanıcı’nın Platform üzerinden onaylanmasıyla birlikte yürürlüğe girmektedir.

This Loadmance Software as a Service (SaaS) Subscription and License Agreement (“Agreement”) is
entered into by and between Virgosol Bilişim ve Yazılım Çözümleri Anonim Şirketi (“Virgosol” or
“Us”), the owner and operator of the web-based platform running on the browser interface with the
extension www.loadmance.com (“Platform”), and
non-consumer natural or legal persons (“User” or
“You”) who wish to benefit from the Platform. This Agreement shall become effective upon the
electronic acceptance of this Agreement on behalf of the User by a person above the age of 18 who is
authorized to represent the User.
The natural person approving this Agreement accepts, declares, and agrees that (I) he/she has full
authority and capacity to make the User a party to this Agreement, (ii) he/she has read and
understood the terms contained in this Agreement, and (iii) the User becomes a party to this
Agreement with the electronic approval of this Agreement on behalf and for the User’s account.
This Agreement may be amended at any time by sending you an email notification. The “Last Updated”
date at the top of this Agreement indicates the last time it was amended. The most recent version
shall supersede all previous versions. By using the Platform hereafter, the User acknowledges these
amendments.
In addition, the terms and conditions of use provided by Virgosol to the User regarding the use of
the Platform and the matters contained in certain sections of the Platform (“Documentation”) are an
annex and an integral part of this Agreement, and together with the rights and obligations contained
herein, constitute the entire rights and obligations of the parties.

1. GENERAL TERMS
1.1. The Platform is web and cloud-based. It is a visual modeling, testing, and
results analysis
platform where you can run performance scripts to test the User’s commercial web platform (“User
Site”) for heavy load, multiple, and concurrent user traffic using existing performance evaluation
tools, based on the information and data uploaded to the Platform by the User (“Content”). The
Platform enables rapid development of complex artificial J2EE testbed applications. No coding
knowledge is required to perform these operations, as the Platform works without having to code when
running edited test cases and analyzing reports. The Platform eliminates the necessity for local
machine (on-prem) service. Within the scope of this Agreement and Documentation, the services to be
delivered to the User may vary depending on the subscription plan selected on the Platform
(collectively, “Service” or “Services”).
1.2. Virogsol shall provide the Services to the User under the terms of this
Agreement in accordance
with each User's preferred subscription package. Virgosol grants the User a worldwide,
non-exclusive, non-transferable and non-sublicensable license, limited to the term of this
Agreement, in accordance with the Documentation.
1.3. The User accepts, declares and undertakes to comply with the following
obligations when
accessing the Services.
- 1.3.1. It is prohibited to license and/or sublicense the Services. It may not sell, transfer, assign or distribute the Services or contents. It may not use it for its own commercial purposes and/or make it available to third parties other than group companies, affiliated companies, contracted official vendors, except for the conditions under the Agreement.
- 1.3.2. Shall not make or modify any work produced based on the Services or its content (derived from the Services or its content).
- 1.3.3. Shall not reverse engineer or access the Services for the purpose of (a) creating a product or other service that competes with the Services, (b) creating a product that uses ideas, features, functions or graphics similar to the Services, or (c) copying any ideas, features, functions or graphics of the Services.
- 1.3.4. Shall not send messages (spam, insults, etc.) that violate applicable laws.
- 1.3.5. Shall not upload or send Software viruses, worms, trojan horse programs, or other harmful computer files, codes, macros, commands, or programs.
- 1.3.6. Shall not provide data flow in a way to disrupt the performance and/or integrity of the Services.
- 1.3.7. Shall not make an unauthorized attempt to gain access to the services or related networks and systems
1.4. Virgosol shall use reasonable efforts to make the Services available with a
target uptime of
99.8% for each calendar month ("Target Availability"). However, Virgosol's Target Availability
commitment shall not account for the interruptions described in the remainder of this clause: (a)
use of the Services by the User for purposes other than those specified on the Platform and/or in
the Documentation, (b) Internet service provider outages and problems on a national scale or
permanent or temporary outages and problems on the Internet, (c) circumstances that may be
considered force majeure, (d) Other variables outside the oversight and control of Virgosol, (e)
interruptions caused by the User's equipment, software, network connections, the User Site or the
hosting service provider to which the User Site is connected, and (f) Measures taken for planned
maintenance operations notified by Virgosol at least one (1) day in advance, or for emergencies
(e.g. system attack, ddos attack, cyber security measures, etc.).
1.5. Virgosol shall make available its customer support services to the User during
weekday business
hours (09.00 - 17.00). In the event that communication tools (such as forums, chat tools or message
centers) are provided to the User through the Platform, the User declares and undertakes to use
these communication tools only for lawful purposes. The User shall not use such communication tools
to share materials that are not related to the Platform's purposes, such as the sale of products and
services, e-mails sent without the consent of the other party, files that may damage third-party
software and computer systems, insulting content for other users, or illegal content. The User
warrants that it is entitled to communicate via the Platform in relation to any communications made
using the Platform. Virgosol is under no responsibility to verify the propriety of messages sent
over the Platform or that they are intended for Platform-related objectives. The User shall exercise
the same care with respect to other web-based communication tools accessed through or used in
relation to the Platform as it is obliged to exercise when using communication tools provided
through the Platform. Virgosol reserves the right to remove and/or change the communication tools
provided through the Platform at any time at its sole discretion.
2. CONDITIONS FOR ACCESS TO THE SERVICES
2.1. The User shall approve this Agreement by providing the information requested by Virgosol in a
complete, accurate and up-to-date manner in order to benefit from the Platform. In the event of any
changes to the information provided at the time of the establishment of the user status, such
information will be updated immediately. Virgosol shall not be liable for any failure to access and
utilize the Platform due to provision of incomplete or untrue or outdated information.
2.2. The User is permitted to create a single user account. Once Virgosol suspends or terminates a
User's account, the User is disallowed from creating a second account using the same or different
information. Virgosol reserves the right, at its sole discretion, to refuse to open the User's
account without giving any justification
2.3. The user shall use an e-mail address and password to access the Platform and Services. The User
is responsible for maintaining this password's confidentiality and security. The User shall be
responsible for all activity involving the use of such information through the Platform, as well as
any legal and criminal liability arising from these activities. The User shall immediately notify
Virgosol of any unauthorized use of their password or any other violation of security.
2.4. The User agrees to use the Platform solely for authorized purposes and in accordance with this
Agreement, annexes, applicable law, and Documentation
2.5. The User may authorize a third party to use the Platform from time to time ("Authorized User").
The identity and the level of authorization of the Authorized User shall be determined by the User.
The User is responsible for Authorized Users' use of the Platform, shall at all times control
Authorized Users' access to the Platform, and may modify or remove an Authorized User's level of
access to the Platform at any time and for any reason. In the event of a dispute between the User
and the Authorized User regarding access to the Platform, the User shall decide on the Authorized
User's access and level of access to the Platform or the Contents.
2.6. The Content shared by the User is the User's property, and the User is solely responsible for
the Content. Virgosol has the right to use the Content under the license provided to by the User
under this Agreement. Virgosol shall not be held liable for the Content or for any loss or damage
that may be caused by the Content.
2.7. The User agrees that (i) if the Platform is hosted by third parties, shall not engage in
activities that may jeopardize the security and integrity of the computer and network systems of
such third parties, (ii) shall not use the Platform in a manner that interferes with the
functionality of other systems through which the Services are provided, interferes with the use of
the Platform by other users of the Platform, (iii) shall not provide unauthorized access to the
computer systems on which the Platform is hosted, (iv) shall not transmit or upload unlawful Content
(including copyrighted or trade secret Content and other materials that the User has no right to
use) that may damage Virgosol's and third parties' computer systems, devices and software, (v) shall
not modify, copy, adapt, reproduce, create source code or reverse engineer the computer programs
used in the provision of the Services or the operation of the Platform, and shall not use them in
acts of attack and attack against third parties.
2.8. The User agrees that the use of the Platform may be subject to restrictions, including monthly
transaction and custody volumes and User Site traffic limit. Such restrictions will be specified
within the Platform.
2.9. The User may not transfer or assign the User account and the rights and obligations arising
from this Agreement and the use of the Platform to a third party in any way.
2.10. In the event that the User violates this Agreement and Documentation, Virgosol shall have the
right to suspend the User's membership account or terminate the Agreement as specified below and
terminate the user status in this way.
3. PAYMENT TERMS
3.1. The User shall be able to use the Platform in consideration of full and complete payment of the
fees stated on the Platform by using the terms and methods provided on the Platform.
3.2. If the User receives a prepaid service from the Platform, the invoice shall be issued to the
address specified when becoming a member following the payment and shared with the User as an
electronic invoice. If the User receives a prepaid service from the Platform, the User shall pay the
relevant amount on the invoice within 7 (seven) days following the invoice date. The User is
responsible for the payment of taxes and duties related to the relevant fees.
3.3. The User may contact support@loadmance.com
in writing for cancellation and refund in case of
the prepaid services. The User accepts, declares and undertakes that in case of cancellation of the
prepaid service, a full refund may not be made, a refund may be made in line with the usage metrics
calculated by Virgosol and that Virgosol's records are valid in this regard.
3.4. Virgosol has the right to cancel this Agreement and suspend the Customer's access to the
Services if the Customer fails on service fee payments.
4. INTELLECTUAL PROPERTY RIGHTS
4.1. Virgosol owns all rights, titles, and interests in the Platform. Article 1.2 of this Agreement
grants the User a license to use the Platform. Nothing in the Agreement or other terms and
conditions of the Platform may be interpreted as transferring to the User any rights or interests in
connection with the Platform. For the purpose of providing the Services, Virgosol is permitted to
sublicense the Content to third-party developers.
4.2. The User shall not use the trade name, trademark, service mark, logo, or domain name of
Virgosol or the Platform (or its affiliates) in any way without Virgosol's prior written
authorization.
5. LIMITATION OF LIABILITY
5.1. The Services, software and other content within the scope of the Platform are provided "AS IS"
and in this context, Virgosol has no responsibility or commitment regarding the accuracy,
completeness and reliability of the Platform, software and content. The User understands and agrees
that Virgosol also makes no commitment regarding the relationship between the Content and other User
data. Virgosol shall not warrant that the use of the Platform is uninterrupted or error-free.
Virgosol aims to make the Platform accessible in line with Target Availability, but shall not
guarantee the operability and accessibility of the systems that provide access to the Platform.
5.2. The User acknowledges that the access and quality of the Services offered through the Platform
are largely based on the quality of the service provided by the relevant internet service provider
and that Virgosol has no responsibility for any problems arising from the quality of such service.
5.3. The User is solely responsible for the use of the User Site and Content and the Platform. The
User agrees to hold Virgosol harmless from any and all claims and demands (including litigation
costs and attorneys' fees) that may be submitted by third parties regarding intellectual property
infringements, Content, the User Site and the use of the Platform.
5.4. To the extent permitted by applicable law, Virgosol shall not be liable for any direct,
indirect, special, incidental, punitive damages arising out of the use of the Platform, including
but not limited to loss of profits, loss of goodwill and reputation, expenses incurred for the
provision of substitute products and services. In addition, Virgosol represents that it makes no
warranties of any kind, express or implied, including, but not limited to, implied warranties,
merchantability, fitness for a particular purpose. Virgosol's liability under this Agreement shall
in any event be limited to the amount paid by the User within the scope of the services subject to
this Agreement until the date of the relevant damage.
6. DURATION AND TERMINATION
6.1. This Agreement is limited to the commitment period stated in the Documentation ("Commitment
Period") and unless otherwise stated in the Documentation, this Agreement will be automatically
renewed at the end of the Commitment Period.
6.2. If any one or more of the Parties' responsibilities under the Agreement are violated, or if the
Parties fail to perform their obligations under the Agreement at all, properly, or on time, the
relevant party shall give the breaching party one (1) month to cure the breach. However, if the
breach is not remedied within the given period, the party whose right is violated may immediately
terminate this Agreement unilaterally for all and/or any one or more of the Service(s), provided
that it has given written notice of termination. In the event that the Users violate the Agreement
through their own fault or do not act in accordance with the Agreement; Virgosol may cancel the User
password or User account or prevent the use of the Services if the violation is not terminated at
the end of one (1) month period given by Virgosol to remedy the violation.
7. MISCELLANEOUS
7.1.
7.2. Entire Agreement: This Agreement, including this provision, shall not be unilaterally modified.
If any part of the Agreement is held to be unlawful or invalid, such unlawfulness or invalidity
shall not affect the other provisions of the Agreement and the other provisions shall remain valid
and binding on the parties in the same manner..
7.3. Applicable Law and Jurisdiction: This Agreement shall be governed by Turkish Law. Istanbul
Anadolu Courts and Enforcement Offices are authorized to resolve any disputes arising from the
interpretation and execution of the Agreement..
This Agreement becomes effective upon the User's acceptance via the Platform.
